DEFINITION
Resolution or Corporate Resolution. A corporate resolution is a corporate action, in the form of a legal document, will be voted on or has been voted on at a meeting of the board of directors for the company. The resolution is also called a corporate action which has the same binding effect as an action taken at a duly called meeting.
Resolutions cover opening bank account, hiring attorneys or filing a Foreign Qualification. Usually needed by the stock holders when the company has to make major purchases.
