Organizers are individuals or business entities that help form Limited Liability Companies. Organizers are most often used to file forms with the Corporation Division of the Secretary of State that establish the company’s authority to transact business with the state. The organizers responsibility ends with the stamped filing of the Limited Liability Company documents. The organizers name will usually appear on the company articles.
A person commits an offense if the person signs or directs the filing of a filing instrument by the organizer, if the person knows is materially false with the intent that the instrument be delivered to the secretary of state for filing.
