Incorporator
DEFINITION
An incorporator is the individual, corporation or association responsible for the process of filing a new corporation with the Corporation Division within the Secretary of State Business Division. The business will not be fully incorporated until the incorporator signs and files the articles of incorporation. Incorporators role is minor, and their involvement ceases after the corporation is established.
Incorporators may be the actual owners of the business, but more often than not, will be employees of a document filing firm that handles the filing of documents in incorporation process. Can also be referred to as dummy incorporators.
A person commits an offense if the person signs or directs the filing of a filing instrument by the incorporator, if the person knows is materially false with the intent that the instrument be delivered to the secretary of state for filing.
