DEFINITION
Dissolution is the legal termination of a corporation. Also called dissolving or winding up. To dissolve a business, you must file Articles of Dissolution with the Secretary of State, ending the existence of a corporation. The effective date is shown on the Certificate of Dissolution. Voluntarily Dissolved status indicates that a corporation has filed articles of dissolution. Involuntary Dissolution is a status indicating that the corporation was administratively dissolved for failure to maintain a registered agent, file a report or pay a fee.
