DEFINITION
Certificate of Incumbency or Incumbency Certificate is a document used to confirm the identity of the signing officers of a corporation, and lists the individuals authorized to enter the corporation into legally binding agreements. In addition to listing the names of the officers and directors of a corporation, the Certificate of Incumbency also lists whether an officer or director was elected or appointed, the term of office and position. Sometimes it also confirms the names of directors and shareholders as well as minute book contents.
