Appoint Registered Agent

States require business entities to have registered agents or registered offices. When you file for a Corporation or LLC, part of the process requires you to appoint a Registered Agent (also called Resident Agent, Statutory Agent or Agent for Service of Process). Registered Agent Acceptance Forms


The person placing a Corporation or LLC order must affirm that the person designated as registered agent has consented to the appointment, if you are not going to use an IncSmart Registered Agent.  By placing the order, you are subject to the penalties imposed by law for the submission of a materially false, fraudulent or perjured document.  Anyone violating these conditions is guilty of a crime.  You are also authorizing IncSmart to execute the filing of the articles, and we are filing the articles in good faith believing that the facts stated on the order contains true facts.  IncSmart will not knowingly falsify or conceal facts or make false, fictitious statements or representation, or make or use a false document. 

Change Registered Agents

In order to remove a person on company as your Registered Agent, you must contact the State Corporation Division. This is a legal appointment and cannot be cancelled by calling or emailing the Registered Agent. The Corporation/LLC must submit Articles of Dissolution, Articles of Withdrawal, or a Registered Agent Change form with the Corporation Division to remove the Registered Agent as the listed agent.

An administratively dissolved Corporation/LLC or a Corporation/LLC in default or revoked status, continues it's corporate existence but may not carry on any business in the state. The Administrative Dissolution of a Corporation/LLC does not terminate the authority of it's Registered Agent.

Registered Agent Appointment by Non-filing Entity

There are some entities that do not have an entity registration filing required with the Secretary of State. These entities may choose to appoint a registered agent.

Wet Signatures

Some states require "WET" original signatures on Registered Agent Acceptance Forms. These forms will be mailed to the customer. These states include Florida, South Carolina, New Mexico and Wyoming.
