Notices are sent to the email address given to Florida Secretary of State. Any email may be used, from your accountant to your Florida Registered Agent. To do business in Florida, you must maintain your maintenance fee. It may be a report, business license, state taxes, franchise fees, or annual renewal. Florida Corporation reports are $150 a year. Florida LLC reports are $139 a year. Late fees are $400.
An administratively dissolved Corporations and LLCs or a Corporation and LLC in default or revoked status, continues its corporate existence but may not carry on any business in the state. The administrative dissolution of a Corporation or LLC does not terminate the authority of its registered agent. The Corporation or LLC must submit Articles of Dissolution, Articles of Withdrawal, or a Registered Agent Change Form with the Corporation Division to remove the Registered Agent as the listed agent.

Delaware has just announced an increase in Franchise fees for 2015. The fees will go up $50. The new amount will be $300 instead of $250.
