FAQ: Frequently Asked Questions For Wyoming
Name Endings
1. Do I need to use a designator for my Wyoming Corporation name?
Wyoming does not require that you include Inc or Corp in your corporation name.
2. Can I use BANK as my corporation name?
If the name implies banking, trust, or insurance, prior approval of the banking superintendent or
insurance commissioner is needed.
3. Can I use LC for my Limited Liability Company name?
Yes. The name of an LLC can end with LC or Limited Company.
Article Requirements
1. Are Managers or Members required to be listed on the Articles of Organization?
Yes. Instead of listing all members, you can list one member as the Manager instead.
2. Can I have as many shares of stocks as I want?
Wyoming does not need to know the number of shares or the par value. We file your articles as
"Unlimited" so you can change your shares or par value as often as you need, and Wyoming well not
need to be notified of any changes.
3. Can another entity by my Officer and or Director?
Wyoming will allow another entity to be listed as a Manager of an LLC, but you can not use an entity
for a corporation officer or director. These positions must be a real person age 18 or older.
4. What is the difference between a Manager and a Member for an LLC?
You can only list one or the other on your articles of organization. Managers are employees of the
company and members are owners. A Manager may be an owner.
5. Does Wyoming allow BEARER SHARES?
Wyoming passed legislation in 2007 that Bearer Shares are no long acceptable.
6. Who is the Incorporator or Organizer?
IncSmart.biz and the filers are the Incorporators and Organizers for your new entity. It is the person
that completes and signs the articles and submits them to the Secretary of State. The Incorporator's
and Organizer's duties and title end after filing.
Taxes and Fees
1. Does Wyoming have annual fees and reports?
Wyoming's annual report is due on the anniversary the Article's were filed with the Secretary of State.
The annual statement is not due until a year after your filing. Annual Report License tax is $50 or two-
tenths of one mill on the dollar ($.0002) whichever is greater based on the company’s assets located
and employed in the state of Wyoming. An entity with $250,000 or less in assets pays a minimum of
$50.
2. Does a Wyoming company file state taxes?
There are no state taxes in Wyoming.

1. Will Wyoming require me to have a local bank account?
Wyoming does not require a local bank account to run your business from the state. They are limited
though to the number of national banks doing business in the state.
2. Does Wyoming require me to have a local business address?
Wyoming Articles of Incorporation and Organization do not ask for a business address, but they do
ask for an address where reports can be sent.
3. What are the Wyoming annual maintenance fees?
