Corporate Name Endings
- The corporate name must include the word "Corporation,"
"Incorporated," "Company," "Limited," or the abbreviation "Corp.,"
"Inc.," "Co.," or "Ltd." The name must not imply a purpose other than
the purpose stated in the charter. The name must be distinguishable
from the name of any other domestic corporation or of any foreign
corporation authorized to do business in state. The name must not
include certain enumerated words indicating it is a bank or savings and
loan, or any other words or phrases prohibited by any state statute.

- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements - None
- Directors are not required to be listed in the articles of incorporation.
Officer Information
- Officers are not required to be listed in the articles of incorporation.
Stock Information
- An increase in shares or par value does not affect initial filing fees.
Corporate Records
- Articles of incorporation, bylaws, minutes of shareholders' meetings,
financial statements for the past three years, all written
communications to shareholders within the past three years, a list of
names and addresses of current directors and officers, and the most
recent annual report delivered to the Secretary of State must be kept
at the principal office of the corporation.

Initial & Annual Statements
- Statement of Information is an initial statement of officers or
member/managers that must be filed with the Washington Secretary of
State within 90 days after filing original articles, and every year
thereafter in the applicable filing period. If you do not have your UBI
and Password printed on your renewal notice, then you will have to file
by paper. Late fees start at $25.
Taxes
S Corporation
- The state of Washington has no corporate income tax so S
corporations elections have no impact.
License Requirements
- Washington requires most businesses to obtain a license and pay a
fee if operating in the state. Please check with the state to make sure
your business is complying with the license requirements for your
particular profession.
- The Washington Corporations Division requires that both Corporations
and LLCs file an Annual Report. The Annual Report is due on the
anniversary of the initial date of filing of the company. The Annual
Report is mailed 45 days prior to the due date to the designated
Registered Agent of the company. The Washington Corporation
Division does offer online filing of the Annual Report.
