Corporate Name Endings
- The name shall not contain any word, phrase, abbreviation, or
derivative thereof indicating or implying it is organized for any purpose
other than one or more purposes permitted by its certificate of
incorporation. The name shall be distinguishable from the names of
other for-profit and nonprofit domestic corporations, foreign
corporations, domestic and foreign limited partnerships, and current
name reservations or registrations. The name shall not contain any
word, phrase, abbreviation, or derivative thereof which use is
prohibited or restricted by any other statute of New Jersey. The name
shall contain the word "Corporation," "Company," "Incorporated," an
abbreviation thereof, or the abbreviation "Ltd."

Director Information
- Minimum Number - One or more.
- Residence Requirements - No provision.
- Age Requirements - Directors must be a natural person at least 18
years of age.
- Directors are not required to be listed in the articles of incorporation.
Officer Information
- Officers are not required to be listed in the articles of incorporation.
Stock Information
- An increase in shares does not cause an increase in initial filing fees.
Corporate Records
- The articles of incorporation, bylaws, any amendments thereto certified
by the Secretary of State, and a copy of the stock ledger, or statement
of where it is kept, must be kept at the principal office of the
corporation.
Taxes and Fees
Initial & Annual Statements
- All profit and nonprofit corporations (domestic and foreign), as well as
all limited partnerships, limited liability companies, and limited liability
partnerships must submit annual reports and associated processing
fees each year following their dates of incorporation/registration.
Online filing is now mandatory for all annual report filings. The annual
fees are, $50.00 for profit corporations, LPs, LLPs, and LLCs and
$25.00 for non-profits

S Corporation
- S Corporation status is recognized by the State of New Jersey. A
separate state election from the federal election is required.
License Requirements
- New Jersey requires that you obtain a license and pay a fee if
operating certain types of businesses in the state. The following is a
partial list:
The New Jersey Department of Treasury requires all Corporations and LLCs
to file an Annual Report. The Annual Report must be filed by the anniversary
date of the company. A postcard reminder is sent to the designated
Registered Agent of the company 3 months prior to the due date of the
Annual Report. The Annual Report may only be filed online.

The Annual Report is due on or by the anniversary date of the initial date of
filing of the Corporation.
Limited Liability Company $50.00
The Annual Report is due by the anniversary date of the initial date of filing of
the Limited Liability Company.
